# Corporate Paralegal at The LawStaff Group ## About the role As a Corporate Paralegal at The LawStaff Group, you'll support our legal team across the full lifecycle of corporate transactions and governance matters. You'll draft and organize entity documents, coordinate filings across multiple jurisdictions, and maintain corporate records that keep our clients compliant and organized. This is a high-touch role where your attention to detail directly impacts deal closings and client satisfaction. ## What you'll own - Draft and prepare corporate governance documents including board resolutions, bylaws, operating agreements, and stock certificates - Coordinate entity formations, mergers, dissolutions, and annual compliance filings across state and federal jurisdictions - Maintain corporate minute books and entity management systems, ensuring all records are current and audit-ready - Support due diligence processes by organizing data rooms, reviewing contracts, and preparing closing checklists - Liaise with outside counsel, state agencies, and registered agents to keep filings on track and resolve issues quickly - Manage UCC filings, good standing certificates, and other transactional documentation ## What we're looking for - You have a paralegal certificate or bachelor's degree, or equivalent work experience in a corporate legal environment - You've supported corporate transactions from start to finish — formations, amendments, mergers, or dissolutions — and understand the workflow - You can draft clean, accurate legal documents with minimal supervision and know when to escalate questions - You're comfortable juggling multiple matters at once and meeting hard deadlines without sacrificing quality - You have strong organizational skills and experience maintaining corporate records or entity management databases ## Nice to have - Experience with entity management software or corporate database platforms - Familiarity with securities filings or venture capital transactions - Prior work in a law firm or in-house legal department supporting multiple practice groups ## What's in it for you - Competitive salary range of $70,000 – $125,000 based on experience - Full-time role based in Atlanta, Georgia with opportunity to work on diverse corporate matters - Professional development support and exposure to complex transactional work ## About The LawStaff Group The LawStaff Group is a legal staffing and placement firm serving law firms and corporate legal departments across the Southeast.
